Terms & Conditions

These terms and conditions (“T&C”) have been set in order to preserve Vroom International Consumable Products Delivery Company (“Vroom“), and Users rights.

Preamble:

Please read these T&C carefully and in their entirety before using our service as they constitute a binding legal agreement between Vroom and Users.

The service will be provided to Users via our website Tryvroom.com, device applications, or any other methods (together, the “Sites“).

By accessing or using the Sites, Users agree to be bound by these T&C.

  • General Provisions:
  1. The preamble, terms of use (“ToU”), and privacy policy shall be the integral part of this T&C.
  2. Each Vroom and User may be individually referred to as a “Party” and collectively as the “Parties”.
  3. These T&C are applicable to all Vroom Sites.
  4. In the interpretation of these T&C, any reference to a singular word shall also include the plural form of that word, and vice versa, unless the context otherwise requires.
  5. Headings are provided for convenience only and do not affect the interpretation of the clauses.
  6. The terms and conditions may be translated into other languages for the convenience of our users. However, in the event of any discrepancy or contradiction between the English version and the other translation, the English version of the terms and conditions shall prevail.

 

  • Definitions:
  1. User: refers to any individual or entity, whether natural or juridical, that utilizes Vroom’s services and accesses the Sites. The term encompasses both singular and plural forms. It includes any person or entity who views, uses, accesses, browses, or submits any content, material or order to the Sites. the term “User” may also be referred to as “You” for the sake of clarity and convenience.
  2. Business Day: means any day other than a Friday, Saturday or a public holiday in the State of Kuwait.

 

  • Ratification of the T&C:
  1. To use Vroom’s service, Users are required to complete the registration form provided and affirm their commitment to Vroom’s T&C. By submitting their registration or utilizing any of our services, Users acknowledge and automatically consent to abide by these T&C.
  2. It is the User’s obligation to ensure that all individuals accessing the Sites through their internet connection are aware of these T&C and adhere to them. By viewing, using, accessing, browsing, or submitting any order on the Sites, agreement to these T&C as a binding legal agreement between Vroom and the User is implied, without limitation or qualification.
  3. If the User does not consent to these T&C, then they are not permitted to use the Sites.
  4. Vroom retains the authority to update, amend, or substitute any part of these T&C at any time without prior notification, unless it is specifically indicated otherwise in this T&C. By visiting the Sites, the User acknowledges that each visit is subject to the current T&C, and Privacy Policy. Furthermore, continued use of the Sites, either at present or subsequent to alterations in these T&C, signifies that the User has read, consented to, and accepted such modifications, thereby agreeing to be bound by them. The User is responsible for regularly checking this page for any updates or modifications.

 

  • Use Vroom Service:
  1. To utilize Vroom’s services, Users must authorize the Vroom Sites to access location services via their mobile operating system or browser’s permission system. Vroom may collect the exact location of the User’s device when the Vroom Sites is operational, whether in the foreground or background. Additionally, Vroom may derive the User’s approximate location from User IP address. This location information is utilized to verify the User’s presence in their preferred region or city at the onset or during engagement in delivery via the Vroom service. It facilitates connecting Users with delivery opportunities within their designated zone and monitoring the progress and completion of their deliveries. Users have the option to enable the location tracking feature through their device settings or when prompted by the Vroom Sites. Opting to disable this feature via device settings will result in Vroom not receiving precise location information from the device, thereby impeding Vroom’s ability to access or receive delivery opportunities in the User’s area.
  2. The User shall be responsible for ensuring all necessary arrangements are made to access the Sites. Vroom cannot be held liable for any failure of the Sites to operate fully due to lack of internet access or depleted data allowance. Furthermore, Vroom bears no responsibility for how Users use the Sites; it is the User’s duty to ensure their device remains charged, as Vroom shall not be held responsible if the User’s device loses power, rendering them unable to access the service.
  3. It is the User’s obligation to ensure the security of their phone and Sites access. Therefore, it is advised that the User refrains from jailbreaking or rooting their phone, which involves removing software restrictions imposed by the official operating system. Such actions could render the phone vulnerable to malware, viruses, or malicious programs, compromising its security features and potentially affecting the functionality of the Vroom Sites.
  4. Vroom reserves the right to update our Sites as needed. Our application is presently accessible on Android and iOS platforms, with potential expansion to additional systems in the future. Changes in requirements for these systems, or any future ones, may occur, necessitating the download of new updates to continue utilizing our services. While Vroom does not guarantee consistent updates to ensure compatibility with Users’ installed Android or iOS version, Users are obligated to accept updates to the application whenever they are made available.

 

  • Overview of Services Offered:

Vroom offers a comprehensive range of delivery services designed to provide convenience and efficiency to our User. Our hyper-local application operates within Kuwait, offering on-demand delivery solutions to meet various needs. Whether it’s collecting or delivering items, Vroom ensures swift and reliable service at any specified location and time across the country. Our services cover a wide array of errands, including but not limited to, delivering groceries, documents, gifts, and personal belongings. Additionally, Vroom facilitates the pickup and return of items, saving our users valuable time and effort. With a commitment to professionalism and precision, Vroom strives to revolutionize the local delivery landscape, making errands hassle-free and enjoyable for our Users.

  • Vroom Registration Process:
  1. To register for a Vroom account, Users shall provide their correct phone number. Upon submission, Users will receive a one-time OTP (One-Time Password) which should not be shared with anyone. This OTP shall be entered into the designated box within the Sites. OTP must remain confidential and not be shared with others. Users are accountable for all activities and orders made through their account, and should immediately report any suspicion of compromise. Vroom will not be held liable for any issues arising from OTP use. It is solely under the responsibility of the User to protect the OTP.
  2. By using our service, You confirm that all personal information (such as name, email, and address) provided is true, accurate, current, and complete. Any changes to personal information shall be promptly updated in the User account or communicated to us. Failure to do so will be considered a violation of our T&C. Impersonation or the use of false identities is strictly prohibited.
  3. Users are strictly prohibited from creating multiple accounts for the same person. Although exceptions may be permitted at Vroom’s sole discretion, the use of promotions will not be allowed in such cases. Any violation of this clause may result in account termination.

 

 

 

 

  • Children’s Policy:
  1. Minors, individuals under the age of 18, are obliged to have their parent or guardian review and consent to this T&C before accessing our Sites and services. Access and use of our services are only permitted for individuals aged 18 and above.
  2. Minors must obtain explicit permission from their parent or guardian and be under their direct supervision while accessing and using our services.
  3. As age verification of our users is not possible, we strongly advise parents or guardians to closely monitor their children’s online activities. Additionally, parents or guardians are responsible and will be held liable for any unlawful activities conducted by their children while using Vroom’s Sites and services.

 

  • Ordering and Processing Procedures:

Once You have registered, You will have the option to choose the type of vehicle, specify the pickup and drop-off locations, and select the timing for your delivery. After filling in the required information, You will be prompted to submit your order by clicking the “Proceed” button. It’s essential to review the information You have entered and correct any mistakes before proceeding, as once You click “Proceed,” any errors cannot be amended. In such cases, You will need to contact us for corrections, which may cause delays. Upon receiving your order, Vroom will promptly begin processing it. You will receive a confirmation message on the final page, indicating that your order has been successfully received and dispatched to the driver. If any payment You make is not authorized, You will be redirected to the previous page on the Sites, and we will not be obliged to provide the requested services.

  • Prohibited Activities:
  1. Users are restricted from accessing or utilizing the Sites for any purpose other than those provided by Vroom. The Sites is designated for personal use only and may not be utilized for commercial purposes unless explicitly endorsed or approved by Vroom. If any prohibited activities are conducted by a User, Vroom reserves the right to suspend, block, or terminate the User’s account and deny access to the service.
  2. Prohibited activities include but not limited to the following:
  3. Criminal, terrorist, or tortuous activities, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, copyright infringement, patent infringement, or theft of trade secrets;
  4. Making any unauthorized use of the Vroom services, including collecting usernames and/or email addresses of Users by electronic or other means for any purpose of sending unsolicited email;
  5. Engaging in unauthorized framing of or linking to the Sites;
  6. Transmitting chain letters or junk email to other Users;
  7. Using any information obtained from the Sites in order to contact, advertise to, solicit, or sell to any User without their prior explicit consent;
  8. Engaging in any automated use of the system, such as using scripts to add friends or send comments or messages, or using any data mining, robots or similar data gathering and extraction tools;
  9. Interfering with, disrupting, or creating an undue burden on the Sites or the networks or services connected to the Sites;
  10. Attempting to impersonate another person;
  11. Using the username or phone number of another User;
  12. Selling or otherwise transferring your account;
  13. Using any information obtained from the Sites in order to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
  14. Using the Vroom service as part of any effort to compete with Vroom or to provide services as a service provided;
  15. Soliciting others to perform or participate in any unlawful acts;
  16. Deciphering, decompiling, disassembling or reverse engineering any of the software comprising or in any way making up a part of the Sites;
  17. Attempting to bypass any measures of the Sites designed to prevent or restrict access to the Sites, or any portion of the Sites;
  18. Harassing, annoying, intimidating or threatening the drivers through any medium of communication or to any of Vroom’s employees or agents engaged in providing any part of Vroom services to You.
  19. Using the Sites in a manner inconsistent with any and all international, federal, provincial or state regulations, rules, laws, or local ordinances;
  20. Any other suspected malicious activities on Vroom Sites.
  21. Infringing upon or violating our intellectual property rights or the intellectual property rights of others;
  22. Providing any misleading information on the Sites.
  23. Interfering with any other person’s use or enjoyment of the Sites.
  24. Uploading any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful topic, name, material, or information.
  25. uploading or transmitting viruses or other harmful, disruptive, or destructive files.
  26. Transmitting material that constitutes a criminal offense, results in civil liability, or otherwise breaches any laws, regulations, or codes of practice.
  27. disrupting, interfering with, or otherwise harming or violating the security of the Sites, or any services, system resources, accounts, passwords, servers, or networks connected to or accessible through the Sites or affiliated or linked sites.
  28. The above list is not exhaustive and is amended by Vroom at any time at its own discretion.
  29. Users are liable to compensate Vroom for any costs and damages resulting from a breach of these restrictions. Vroom will fully cooperate with law enforcement authorities or court orders requesting disclosure of the identity or location of any User breaching the aforementioned provisions.

 

  • Prohibited items:
  1. Users are prohibited from utilizing Vroom’s delivery service to transport any items deemed illegal according to Kuwaiti Law, including but not limited to:
  2. Money, Gold coins and nuggets;
  3. Goods that have been expressly prohibited by law or deemed dangerous by Vroom.
  4. Animals;
  5. Beverages spirit drinks and alcoholics;
  6. Medications, tablets and medical preparations;
  7. Flammables and flammable fireworks;
  8. Fake skincare products and cosmetics;
  9. Firearms and ammunition;
  10. Cigarettes, e-cigarettes and other smoking equipment;
  11. The above list is not exhaustive and is amended by Vroom at any time at its own discretion.
  12. Users are liable to compensate Vroom for any costs and damages resulting from a breach of these restrictions. Vroom will fully cooperate with law enforcement authorities or court orders requesting disclosure of the identity or location of any User breaching the aforementioned provisions.

 

  • User Responsibilities:
  1. During the use of the services of Vroom, the User agrees and undertakes that:
  2. all information provided in the registration form is accurate and complete. In cases where this information is necessary for the provision of services, the User acknowledges sole responsibility for any losses incurred due to misinformation or inadequacy of information provided (e.g., changes in phone number). In such instances, Vroom reserves the right to terminate the User’s account.
  3. all personal ideas, opinions, and statements expressed while using Vroom services, as well as any files uploaded on the Sites and personal information shared, are their sole responsibility. Vroom shall not be held liable for any such files or information.
  4. all records or materials obtained by using Vroom’s services are within their consent. The User accepts full responsibility for any damages, loss of information, or other losses incurred on their device as a result of their actions. The User agrees not to seek compensation for any losses resulting from their use of Vroom’s services. Vroom retains the right to monitor the system periodically or continuously.
  5. Users agree to access Vroom services only through authorized means as specified by Vroom. Users shall refrain from altering the software in any manner and shall not use software identified as modified.
  6. Users are required to maintain adherence to Islamic and public morality, as well as uphold good manners and comply with all relevant laws in all forms of communication, titles, and nicknames.
  7. User is personally responsible for all actions conducted under using Vroom’s services.
  8. Users are obliged to abstain from accessing the Sites or services utilizing a third-party’s account/registration without explicit consent from the account holder.
  9. The credit or debit cards utilized for placing orders through the online payment gateway on Vroom Sites must be owned by the User. Alternatively, the User must obtain legal permission from the card owner to complete the transaction. Vroom will not be liable if the User uses credit or debit cards of another person without obtaining their legal permission.
  10. User hereby agrees to cooperate with Vroom to the fullest extent permitted by applicable law, including, without limitation, agreeing to provide written answers to any questions or provide information to assist Vroom in conducting any internal investigation or inquiry.

 

  • Vroom’s Authority:
  1. Vroom reserves the right to temporarily suspend or permanently cease system operation at any time. Vroom shall bear no responsibility towards Vroom’s Users or any third parties for the temporary suspension or permanent cessation of system operation.
  2. Vroom reserves the right to indefinitely restrict its Users from utilizing the provided services if deemed necessary by Vroom.
  3. While we make every effort to ensure Users’ satisfaction, Vroom does not guarantee the timeliness, security, completeness, accuracy, or reliability of its services, nor does it ensure that the quality of the services will meet the expectations of the Users.
  4. Vroom has the right to back-up and delete all or some of the files, messages which are provided by the Users during the use of services for some periods deemed suitable by Vroom. Vroom shall not be held responsible for back-up and delete processes.
  5. Vroom may provide transition for a User to other websites. In this case, the User agrees that Vroom shall not be responsible for any context, terms of conditions, or privacy policy of that websites.
  6. Vroom may make any changes in the implementation of this T&C, and amend the existing clauses or add new clauses for the purpose of complying with any technical necessities and legislation which shall come into being in the future.
  7. Vroom reserves the right to introduce additional services, modify existing services partially or entirely, or transform into a paid service.
  8. Vroom is committed to ensuring the usefulness and efficiency of the Sites. Consequently, there may be occasions when the Sites are unavailable to facilitate maintenance and upgrades. Although we strive to provide advance notice to Users regarding any service unavailability, such notification cannot be guaranteed, and we maintain the right to modify or withdraw the service at our discretion. Furthermore, we reserve the right to introduce changes to the Sites and revise service charges at any time and for any reason.

 

  • Price:
  1. The delivery charges for your orders are determined either on a per-order basis, taking into account the vehicle type required, or depending on the specific package, which You have subscribed (see B2B Packages section). Any applicable delivery charges or additional fees will be prominently displayed at the time You submit your order, ensuring transparency in the transaction process.
  2. Vroom holds no liability towards User or any third party for any modifications, changes in pricing, suspensions, or discontinuations of the service.

   

  • Payment:
  1. Users are required to pay the service charges, includes operational fees and taxes if applicable, as notified in advance at the time of submitting the order, to ensure item delivery. Failure to do so may result in items not being delivered. Upon acceptance of your order, an agreement is established between You and Vroom. This signifies that You have read and agreed to the T&C outlined herein.
  2. Users bindingly chooses the payment method when placing the respective order, provided that the User chooses an online payment method, the payment will be processed by an external online payment provider cooperating with Vroom.
  3. Card data will be stored for future orders by the external online payment providers, on the condition that the Users has given consent to the storage and future usage (Look at the Privacy Policy Terms).
  4. Users must ensure that their respective account maintains sufficient funds or, when utilizing a credit card, remains within the credit limit set for the card transaction. Users are required to abstain from initiating unauthorized debit chargebacks.
  5. Payment made through the online payment gateway on the Sites shall be done using Credit or Debit cards belonging to the User. In the event that the User utilizes a card that does not belong to them, they shall obtain legal permission from the card owner to proceed with the transaction. The User assumes full responsibility for any payments made using the Debit/Credit Cards facility.
  6. The User shall be responsible for paying any applicable taxes, and such payments shall be non-refundable.

 

  • Payment Methods:

Users have the option to select from various payment methods available on the Sites, including Cash on Delivery, Vroom’s credit, Vroom’s gift voucher, local debit cards, Apple Pay, Google Pay, Samsung Pay, Visa and credit cards, and K-net. Vroom retains the discretion to introduce additional payment methods or discontinue existing ones as deemed necessary.

 

  • Delivery and Pickup Policy:
  1. Users must complete the payment process to initiate the service delivery. Failure to do so may result in items not being delivered or picked up.
  2. Users have the option to pick up or deliver items to/from multiple locations within the same order by selecting the location for each item. Vroom reserves the right to organize the pickup or delivery plan as deemed appropriate by Vroom.
  3. Users have the option to pick up or deliver items from their location to another location and vice versa, within the same order.
  4. User has the flexibility to choose the date and time for pickup or delivery. While we strive to adhere to these specified timelines, Vroom cannot be held liable, either legally or financially, for any inability to meet them.
  5. If the User needs to change the scheduled delivery or pickup date or time, they must contact Vroom at least 5 Minutes prior to the agreed-upon date or time. Vroom will then arrange for another suitable date or time based on availability within the delivery schedule. Failure to provide this notice within the specified timeframe releases Vroom from any liability.
  6. User shall be responsible for preparing and packaging orders to be suitable for delivery by Vroom. It is the User’s responsibility to ensure that the items intended for Vroom’s pickup are properly prepared and packaged for delivery. Vroom bears no liability for the preparation and packaging of ordered items.
  7. User acknowledges and agrees not to utilize the service for the delivery or pickup of fragile or delicate items. Should the User opt to proceed with such delivery or pickup, they do so at their own risk. Vroom bears no responsibility for any damages that may occur; we will solely deliver or pick up the order in the condition it was loaded.
  8. User shall choose an appropriate vehicle type for the delivery or pickup based on the item’s nature. Vroom shall not be liable for any damage arising from the User’s failure to select the suitable vehicle type. Vroom reserves the right, at our sole discretion, to decline any order or modify the vehicle type if we suspect that the requested item for collection or delivery do not align with the chosen vehicle type.
  9. Vroom shall not be held liable for any consequences resulting from leaving items at the delivery site “outside the User’s premises,” as per the User’s request. Additionally, Vroom bears no responsibility if the item cannot be accommodated through main entrances or interior stairs due to space constraints. If the item necessitate entry via cranes or other equipment, this will be the User’s responsibility and at their expense.
  10. Should the recipient be unavailable to receive the orders, including instances where they do not answer the phone, within a reasonable timeframe (with a maximum of 5 minutes) following the driver’s arrival at the delivery location, the driver shall return the orders to the location from which they were collected. In such circumstances, the User bears all legal and financial responsibilities arising from ordering item to an address where no one is present.
  11. While Vroom endeavors to meet the approximate delivery and collection times displayed on the Sites, Vroom shall not be held legally or financially responsible for any failure to do so. This clause applies to various circumstances, including but not limited to:
  12. Failure by the User to provide sufficient, clear, and accurate instructions for order collection, encompassing details such as contact person information, location, item type, and vehicle type.
  13. Failure by the User to provide sufficient, clear, and accurate instructions for order delivery, including contact person details, location, item type, and vehicle type.
  14. Unavailability of the User or their representative to hand over the orders to the driver at the designated collection time.
  15. Recipient unavailability to receive the orders within a reasonable timeframe (up to 5 minutes) following the driver’s arrival at the delivery location, resulting in the return of the orders to the collection point.
  16. Interference by external factors, including but not limited to adverse weather conditions, traffic congestion, unforeseen road closures, or driver accidents, may affect the timely delivery or collection of orders.
  17. Inaccurate or incomplete address details provided by the User, leading to delays or difficulties in locating the delivery or collection point.
  18. In Force Majeure events (See Force Majeure Section).

 

  • Order Cancellation:
  1. Users are entitled to cancel an order within one minutes from placing it on the Sites. Failure to cancel within this timeframe will result in the User being liable for half of the payment, in addition to the operational fees and taxes if applicable.
  2. Vroom reserves the right to cancel any order, either before or after acceptance, and will notify Users of any such cancellation, with a full refund provided.
  3. Vroom also reserves the discretion to reject or cancel any order placed by Users if there is suspicion that the requested item for collection or delivery do not comply with these T&C. In such cases, full or partial refunds will be issued based on the circumstances and the operational loss incurred by Vroom.

 

  • Refund Policy:
  1. Vroom places utmost importance on User satisfaction. In the event of any issues with your order, we encourage You to promptly contact Vroom for assistance. Subject to the provisions of these T&C, Vroom reserves the right to issue full or partial refunds in the following circumstances: I) if You have been billed by Vroom but did not receive your order, or II) if part of your order is missing due to an error on Vroom’s part. However, Vroom retains the discretion to determine the appropriate resolution for each case, with the overarching goal of ensuring user satisfaction while safeguarding Vroom’s interests.
  2. Vroom reserves the right to withhold refunding any payment if the User fails to comply with the T&C outlined herein.
  3. Subject to the provisions of these T&C, in the event that the User is eligible for a refund:
  4. Vroom reserves the right to first refund the amount to the User’s Vroom Credit. This method facilitates quicker resolution and enhances the User experience with Vroom. The refund process to Vroom Credit will typically be completed within two days (See Vroom Credit Section).
  5. If the User requests an alternative refund method, the refund will only be issued to the initial payment method used to make the order. it’s important to note that this process may involve additional administrative steps and processing time, potentially resulting in delays. The refund process may take between 7 to 14 Business Days, or up to 30 days for overseas banks, to be completed and reflected in the User’s bank account. This duration accounts for the necessary time and procedures required by Vroom, the Credit Card Company, and/or the Bank. It’s important to note that the processing time on the Debit/Credit Cards bank payment gateway is largely dependent on the Bank’s operations. In the event of any delay in crediting the refunded amount to the User’s account, the User should contact their bank directly. Vroom will send an email to the User containing a printout of the refund advice from the Debit/Credit Cards bank payment gateway for reference if needed for bank communication. Refunding requests must be submitted via email to Support@tryvroom.com.
  6. The User shall submit a request for an alternative refunding method within 14 days, counted from the day when Vroom deposits the refunded amount to the User’s Vroom Credit. Failure to do so within this timeframe will render the User ineligible for a refund only via Vroom Credit service.
  7. The User shall be responsible for paying any applicable taxes, and such payments shall be non-refundable.

 

  • Vroom credit:
  1. Vroom credit is a convenient service offered to Users, enabling them to purchase credit through Vroom and utilize this credit to make payments on the Sites seamlessly, without the need to access external payment gateways for each transaction.
  2. Users have the option to purchase Vroom credit in any desired amount, with a minimum of 5 Kuwaiti Dinar (KD) and a maximum of 200 KD. This credit can be acquired using the payment methods provided on Vroom’s Sites. Once purchased, the credited balance will consistently remain available to the User through their account page on the Sites.
  3. In the event that the remaining balance on Vroom credit is insufficient to complete a transaction, the User has the following alternatives:
  4. The User may choose to top up their credit using the payment methods available on Vroom’s Sites to proceed with the transaction.
  5. Alternatively, the User has the option to pay for the service directly using the payment methods provided on Vroom’s Sites.Top of Form
  6. Vroom credit is the sole property of the User who owns the respective account and cannot be utilized by any individual or entity other than the account holder.
  7. The Vroom credit is subject to refund according to the guidelines outlined in Refund Policy section. Refunding requests must be submitted via email to Support@tvroom.com.
  8. Vroom credit is not considered a credit facility and does not accrue any interest. Additionally, there are no fees associated with Vroom credit.
  9. Vroom reserves the right to review Vroom credit data for monitoring and internal reporting purposes.
  10. Vroom retains the right to terminate this service at any time without disclosing the reasons for such action. However, all Users’ rights and credits will be protected and preserved in such circumstances.
  11. In cases where User purchases or receives Vroom Credit as compensation or refund for an order, the credit will come with an expiration date of up to 365 days from the date of receipt. Upon nearing expiration, the User will receive email notification. If the User wish to extend the validity for subsequent periods of the same length, they may do so by contacting Vroom via email: Support@tryvroom.com.

 

  • Item Return:
  1. The return policy shall be the sole responsibility of each individual or entity (natural or juridical). Vroom solely provides delivery and pick-up services and does not assume any responsibility for disputes arising from the terms of item return established by any person.
  2. Vroom shall not be held responsible for any damage or lost parts of the items after the User has reviewed, checked, or received them in their wrapped condition.
  3. In the event that a recipient lodges a complaint with Vroom regarding a specific order, such as regarding the quality of an item, Vroom reserves the right to redirect the complaint to the User. The User shall bear sole responsibility for, and agree to indemnify Vroom against, all Claims arising from or relating to the orders, including but not limited to:
  4. Orders that do not accurately reflect the information or other descriptions provided for the item.
  5. Missing parts that should have been included with the orders as part of the same or a related order placed by a recipient with the User.
  6. Orders that are deemed inadequate, of poor quality, or otherwise unfit for their intended purpose.

 

  • Vroom gift voucher:
  1. The Vroom gift voucher is a service provided by Vroom that allows Users to purchase an advanced balance gift voucher from Vroom’s Sites and send this voucher to a friend. The recipient of the voucher can then use it to place orders instead of using other payment methods through Vroom’s Sites.
  2. Users can purchase the gift voucher only if they are registered with an account on Vroom Sites. The gift voucher may be purchased for any desired amount, with a minimum of 5 KD and a maximum of 200 KD. Users have the option to buy gift voucher credit either by using the provided payment methods on the Sites or through Vroom credit.
  3. The User can purchase the specified gift voucher by selecting the gift amount and providing the name, phone number, and email address of the recipient. Subsequently, an email or SMS or WhatsApp message will be sent to both the buyer and the recipient confirming the transaction.
  4. If the recipient is not registered with Vroom, they shall register to utilize the gift voucher by clicking on the verification link provided in the notification email, or SMS, or WhatsApp message. Upon successful registration, the gift voucher will be converted into Vroom credit, reflecting the same amount as the gift voucher. In such a case, all terms governing Vroom credit are applicable to this service, unless explicitly stated otherwise under the Vroom gift voucher section.
  5. If the recipient already has an account with Vroom, clicking on the verification link in the notification email, or SMS, or WhatsApp message will allow the recipient to view the gift voucher in their account. Subsequently, the gift voucher will automatically convert into Vroom credit, maintaining the original amount of the gift voucher. In such a case, all terms governing Vroom credit are applicable to this service, unless explicitly stated otherwise under the Vroom gift voucher section.
  6. The User is entitled to request a refund for the gift voucher amount within 14 days upon the purchase date. After this period, the User may only request a refund for the gift voucher amount in the form of Vroom Credit. For the avoidance of any doubt, the User shall be responsible for paying any applicable taxes, and such payments shall be non-refundable.
  7. If the recipient has not utilized the gift voucher within one month from the purchase date, the gift voucher amount will be automatically refunded to the buyer in the form of Vroom Credit.
  8. The recipient may not exchange the gift voucher for cash. However, they may reject the gift, and in this case, the gift voucher amount will be automatically refunded to the buyer in the form of Vroom Credit.
  9. Once the gift voucher has been utilized, neither the User nor the recipient may request a refund for the purchased gift voucher.
  10. Vroom reserves the right to review Vroom gift voucher data for monitoring and internal reporting purposes.
  11. Vroom gift voucher is not considered a credit facility and does not accrue any interest. Additionally, there are no fees associated with Vroom gift voucher.
  12. Vroom retains the right to terminate this service at any time without disclosing the reasons for such action. However, all Users’ rights and credits will be protected and preserved in such circumstances.
  13. Vroom Credit received as a gift expires after 180 days. Once expired, Vroom Credit cannot be utilized, and the expiry date can be viewed in the Vroom Credit statement.

 

  • Promotions, Discounts and Coupon:

Vroom retains the right to extend discounts or promotional offers to selected Users at its discretion and shall not be obligated to provide them to all Users. These offers are solely provided at the discretion of Vroom and are subject to change, amendment, or modification without prior notice. Vroom reserves the right to discontinue any discounts or offers at any time without specifying the reasons or providing prior notification. Participation in such discounts or offers is entirely voluntary, and Users acknowledge that their participation is voluntary. Notifications regarding promotions are disseminated through emails, phone calls, SMS, social network apps, or Sites notifications.

 

  • Termination:
  1. Vroom reserves the right to unilaterally terminate the relationship arising from this T&C at any time.
  2. The User may terminate this agreement at any time by notifying Vroom that they no longer wish to use our services, or by ceasing to use our Sites for more than 6 months. Upon termination, both parties shall settle any amounts due up to and including the date of termination.
  3. If, in Vroom’s sole judgment, the User fails or if Vroom suspects that the User has failed to comply with any term or provision of these T&C, Vroom reserves the right to terminate this agreement at any time without notice. In such a case, the User will remain liable for all amounts due up to and including the date of termination, and Vroom may deny the User access to its services (or any part thereof). Additionally, Vroom reserves the right to suspend, restrict, or terminate the User’s access to the service at any time without notice if Vroom believes that the User has violated any of the obligations outlined in these T&C.
  4. The suspension, restriction, or termination of your access to the service will not limit Vroom’s right to take any other legal action against You, the User, that may be appropriate under these T&C.
  5. Unless Vroom informs You otherwise, upon any termination: I) The rights and licenses granted to You, the User, in these terms will cease; II) User shall discontinue using the Sites, and delete it from your device.
  6. The obligations and liabilities of the User incurred prior to the termination date shall survive the termination of this T&C for all purposes.

 

  • Validity of Vroom records:

In the event of any disputes arising from or related to these T&C, the User acknowledges, agrees, and confirms that all bookkeeping entries, microfilm, microfiche, and computer records maintained by Vroom shall be considered valid, binding, absolute, and exclusive evidence. This provision is deemed an evidential contract, and the User hereby waives any and all objections to the specified Vroom records, as well as the right to request an oath regarding the authenticity and accuracy of these records.

 

  • Governing Law and Jurisdiction:

This T&C shall be governed by and construed exclusively in accordance with the laws of the State of Kuwait. Any dispute, claim, or controversy arising out of or in connection with this T&C (including non-contractual disputes) shall be subject to the exclusive jurisdiction of the courts of the State of Kuwait.

 

  • Severability:

If any part of these clauses is deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these clauses and shall not affect the validity and enforceability of any of the remaining provisions. No waiver by Vroom shall be construed as a waiver of any preceding or succeeding breach of any provision.

 

  • Intellectual Property Rights:
  1. The content on the Sites and the trademarks, service marks and logos contained therein (“Marks“) are owned by or licensed to Vroom, and are subject to copyright and other intellectual property rights under state of Kuwait and international conventions. Vroom Content, includes, without limitation, all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics. All Vroom graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, common law trademarks or trade dress of Vroom in Kuwait and/or other countries. Vroom’s trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any item or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Vroom. Vroom Content on the Sites is provided to You “as-is” for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcasted, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Systematic retrieval of data or other content from the website to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from Vroom is prohibited.
  2. Provided that You are eligible to use the Sites, You are granted a limited license to access and use the Sites and the Vroom content and to download or print a copy of any portion of the Vroom content to which You have properly gained access solely for your personal, non-commercial use. Vroom reserves all rights not expressly granted to You in and to the Sites and Vroom Content and Marks. If You download or print a copy of the Vroom content for personal use, You must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with the security related features of the Sites or features that prevent or restrict use or copying of any Vroom content or enforce limitations on use of the Sites or the Vroom content therein.
  3. Vroom holds ownership and copyrights pertaining to the information, documents, software, designs, graphics, and any other materials produced internally or acquired from external sources.

Vroom grants You permission (which may be revoked at any time for any reason or no reason) to view the site and to download, email, share via social networking or print individual pages from the site in accordance with these T&C and solely for your own personal, non-commercial use, provided You do not remove any trademark, copyright or other notice contained on such pages. No other use is permitted. You may not, for example, incorporate the information, content, or other material in any database, compilation, archive or cache. You may not modify, copy, distribute, re-publish, transmit, display, perform, reproduce, publish, reuse, resell, license, create derivative works from, transfer, or sell any information, content, material, software, products or services obtained from the site, except as specifically noted above. Except as specifically authorized by Vroom, You may not deep-link to the site for any purpose or access the site manually or with any robot, spider, web crawler, extraction software, automated process or device to scrape, copy, or monitor any portion of the site or any information, content, or material on the site. Vroom reserves all of its statutory and common law rights against any person or entity who violates this paragraph. User may not link or frame to any pages of the site or any content contained therein, whether in whole or in part, without prior written consent from Vroom. As a courtesy to You, the Sites may offer links to other websites. Some of these websites may be affiliated with Vroom while others are not. Vroom is not responsible for the contents of any website pages created and maintained by organizations independent of Vroom. Visiting any such third-party website pages is at your own risk. Vroom has no control of these third-party website pages, nor can it guarantee the accuracy, completeness, or timeliness of information in third-party website pages. Your use of such information is voluntary, and your reliance on such information should be made only after independent review. References to commercial products or services within any such third-party website pages do not constitute or imply an endorsement by Vroom. By using the Sites, You acknowledge that Vroom is responsible neither for the availability of, nor the content located on or through any third-party website pages. It is the responsibility of the User to carefully review the terms and conditions and privacy policy of any third-party website pages they visit.

 

  • Personal Information:

  • Force Majeure:
  1. Vroom shall not be liable for any failure, default, or delay in performing its obligations under these T&C resulting from force majeure events, including but not limited to: unusual weather circumstances (such as fire, earthquake, flood, cyclone), hostilities (such as war, enemy action, strikes, riot, fire, or civil disturbances), pandemics, epidemics, natural disasters, governmental actions (including changes in law, regulations, or resolutions), or any other cause beyond the reasonable control of Vroom, as long as such events persist. In addition, The Vroom shall not be responsible for any direct or indirect consequences associated with any malfunctions beyond its control, nor for any direct or indirect consequences associated with non-compliance or fraudulent use of these T&C. (“Force Majeure”).
  2. If Vroom is unable to fulfill its obligations due to a Force Majeure event, it shall promptly notify the User of such occurrence, including its commencement and any known cessation. In the event that the Force Majeure event persists beyond a reasonable timeframe, Vroom reserves the right to terminate the order without incurring any liability. The Parties may, at their discretion, agree to undertake alternative measures in good faith to resolve the situation.
  3. For the avoidance of any doubt:
  4. Any payment obligations under this agreement shall be exempt from the provisions of this clause and shall remain unaffected by the occurrence of a Force Majeure event. Vroom shall have a reasonable period, not exceeding one year, following the cessation of the Force Majeure event to fulfill its financial obligations under this agreement
  5. Force Majeure shall also include traffic congestion, unforeseen road closures, and driver accidents.

 

  • Indemnity:

User shall indemnify and hold harmless Vroom, its parents, subsidiaries, affiliates, agents, officers, directors, and employees from and against all claims, expenses, demands, losses, costs, or damages (whether direct, indirect, or consequential), including reasonable attorneys’ fees, arising out of or related to:

  1. The performance or non-performance of User’s obligations under these T&C and/or
  2. Any breach (directly or indirectly and whether through action, inaction, or omission) by User of any provisions of these T&C; and/or
  3. Any claim brought by a third party against Vroom arising from a breach by You of any of these T&C; and/or
  4. User’s use of the Sites, including any submissions made by User, and any alleged infringement of intellectual property or other rights of any person or entity relating to the Sites; and/or
  5. User’s violation of the ToU and the Privacy Policy (directly or indirectly and whether through action, inaction, or omission); and/or
  6. Any act of willful misconduct, fraud, negligence, or misrepresentation, or omissions relating to the use of Vroom’s service and the Sites by the User.

 

  • Limitation of Liability:
  1. The service provided by Vroom is provided without any express or implied warranty or condition of any kind and is provided on an “as-is” basis. All implied warranties, whether by statute, custom, or otherwise, are excluded to the maximum extent permitted by applicable law. User acknowledges and agrees that User’s access to the service is contingent upon connectivity over communications networks and facilities that are outside of Vroom’s operation and/or control. User’s use of the service may be subject to limitations, delays, and other problems inherent in the use of such networks and facilities. Vroom does not warrant that User’s use of the service will be uninterrupted or error-free. While Vroom will use reasonable endeavors to provide a good, consistent service, User acknowledges and accepts that Vroom is not responsible for any loss or damage of any kind that User may suffer as a result of any interruption or delay to User’s access to the service or as a result of any failure or error in the transfer of data over those networks and facilities in connection with User’s use of the service.
  2. In no case shall Vroom, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from User’s use of any of the service or any products procured using the service, or for any other claim related in any way to User’s use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of the possibility of such damages. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions, Vroom’s liability shall be limited to the maximum extent permitted by law.
  3. User acknowledges that Vroom does not provide warranties or representations regarding the accuracy, timeliness, reliability, or other aspects of its services or linked sites. Vroom shall not be liable for errors or misstatements, whether in contract, tort (including negligence) or otherwise, for any loss or damage, whether direct, indirect, consequential, or special, arising from the use of its services. By utilizing the Sites, User releases Vroom from all claims related to any statements or representations made therein. User’s sole remedy for any disputes or issues with Vroom or its affiliates is to cease using their services.
  4. To the fullest extent permissible pursuant to applicable law, Vroom excludes all responsibility and liability in relation to the benefits, privileges and disclaims all warranties, express or implied. Vroom does not warrant that the functions contained in the Sites will be uninterrupted or error-free, that defects will be corrected, or that the service or the server that makes it available, are free of viruses or other harmful components.
  5. Vroom shall not assume any liability for any loss or damage resulting from the User’s failure to adhere to these T&C. The User shall be held liable for losses incurred by Vroom or any other User, whether through authorized or unauthorized access to the User’s account, stemming from the User’s negligence in maintaining the security and confidentiality of their account Information. It is User responsibility to ensure that the account information provided during the registration process on the Sites is complete, accurate, and kept up-to-date.

 

  • Limitations on Non-Personal and Non-Commercial Usage:

User agrees that the consequences of commercial use or re-publication of Vroom’s content or information may lead to serious and incalculable monetary compensation that may not be a sufficient or appropriate remedy, and that Vroom will be entitled to seek temporary and permanent injunctive relief to prohibit such use. Users shall obtain prior written consent from Vroom for any commercial usage.

 

  • Disclaimer:

The information, content, and services provided on the Sites, whether by Vroom, Users, or third parties, including without limitation, submissions, text, photos, graphics, audio files, video, and links, are offered on an “as is” and “as available” basis, without any warranties, express or implied. To the maximum extent permitted by law, Vroom disclaims all representations and warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, title, non-infringement, and freedom from computer viruses. Additionally, Vroom makes no warranty regarding the accuracy, completeness, or reliability of the content or services provided through the Sites. Users acknowledge that their use of the Sites is at their own risk and discretion.

  1. Vroom will notify the User by email or SMS or WhatsApp message of any changes to the above contact information.
  2. Communications are monitored from 10:00 AM to 10:00 PM (Kuwait Time) on Business Days, and from 12:00 PM to 9:00 PM (Kuwait Time) on Saturday to Friday, including governmental Kuwait holidays.
  3. Notice or communication received outside of these hours will be answered but may not be actioned until the next Business Day.
  4. Each notice or communication shall be made solely in the English or Arabic language, otherwise it will not be considered valid and shall not be legally binding.
  5. When the User uses the Sites or sends emails or other data, information, or communication to Vroom, the User agrees and understands that they are communicating with Vroom through electronic records and consents to receive communications via electronic records from Vroom periodically and as and when required.
  6. Vroom may notify the User by email or by such other modes of communication, electronic or otherwise.

 

 

B2B Packages:

 

Terms of Use (ToU)

The B2B service is a membership-based program which will offer Vroom Users delivery and pick-up services through three distinct packages: Bronzy, Silver, and Gold. Each package provides a range of benefits and privileges tailored to the needs of Users. By upgrade your account to B2B account, the User agrees to abide by the ToU outlined herein. For the avoidance of any doubt, these ToU constitute an integral part of the T&C. In the event of any omission in the clauses outlined in the ToU or any provision that is not mentioned herein, the User shall refer to and abide by the provisions set forth in the T&C, which shall govern the overall legal relationship between Vroom and the User.

 

Commencement of these ToU shall be upon the purchase date of the B2B package, and shall endure until the expiration of the B2B package plan.

 

B2B Account:

  1. To upgrade your account and become a B2B User, You must complete the registration form provided on the B2B registration page on the Sites in accordance with the instructions provided therein (See the Vroom Registration Process).
  2. Vroom reserves the right to accept or refuse B2B registration at its own discretion.
  3. Upon completing the payment, the User’s account will be automatically upgraded to a B2B account. They will then have the option to select any available package and will immediately begin to benefit from the features associated with the chosen package.
  4. User may not transfer or assign the B2B account or any of its associated benefits and privileges to any other person or entity, unless explicitly permitted by Vroom.
  5. The User agrees to maintain and promptly update all identifying information and any other details provided to Vroom, ensuring accuracy, currency, and completeness. User also agrees to promptly notify Vroom of any material changes to information or circumstances that could affect eligibility or the terms of B2B account benefits usage.
  6. The User agrees to maintain the confidentiality and security of their personal data, accepting responsibility for all activities conducted with their permission related to their B2B account. In case of loss, theft, or unauthorized access to their OTP or account, User must promptly notify Vroom.

 

Benefits and Privileges:

  1. The Bronzy, Silver, and Gold packages offer varying levels of benefits and privileges, including but not limited to free delivery and exclusive discounts. The extent of these benefits and privileges is commensurate with the package chosen, with higher-tier packages providing greater advantages.
  2. The benefits and privileges associated with each package can be found on the package page on the Sites.
  3. Vroom reserves the right to modify, at any time, the benefits, privileges and the ToU associated with each package at its sole discretion, without prior notice to the User. However, any modification to the benefits, privileges, and ToU shall not affect the benefits, privileges and the ToU that Users received at the moment of their subscription.
  4. Vroom will make its best efforts to inform the B2B Users through the appropriate channels of any new modifications made to the benefits and privileges of packages. The User reserves the right to either retain their previous benefits and privileges without modification for the duration of the subscription or replace them with the new benefits and privileges in compliance with the new ToU.

 

Package Renewal

  1. The B2B packages will renew automatically every 30 days counted from the subscription date, unless canceled by the User 48 hours prior to renewal.
  2. Vroom will charge the package price on the payment method chosen by the User at the time of subscription. If the chosen payment method is declined for payment of the package fee, the User must provide Vroom with a new eligible payment method promptly, or the B2B account will be canceled. If the User provides Vroom with a new eligible payment method and is successfully charged, the new B2B account period will be based on the original renewal date and not the date of the successful charge.
  3. Vroom reserves the right, at its sole discretion, to choose not to renew the Packages subscription.

 

Package Cancellation

  1. The User may cancel their B2B package at any time by adjusting their account settings on the Sites or by directly contacting Vroom’s user support. To avoid being charged for the following month, the cancellation request must be done at least 48 hours before the auto-renewal date.
  2. Upon cancellation, the User’s B2B package will not be renewed, but they will retain access to their benefits and privileges until the subscription expires at the end of the paid month.

Package Refund Policy:

  1. The benefits and privileges associated with the B2B account cannot be exchanged for cash and may not be used concurrently with other ongoing promotions or offers, unless explicitly permitted by Vroom.
  2. The User is entitled to request a refund within 14 days upon the subscription date or renewal date. However, in this case, the amount will be refunded after deducting the operational and service charges, calculated at the normal price without the benefits and privileges, as well as any applicable taxes (See Refund Policy Section).

 

Termination of B2B Account:

  1. Vroom reserves the right to terminate the User’s B2B account and their Packages subscription at any time and at its sole discretion, with prior notice. In such circumstances, the User’s financial rights will be protected and preserved by ensuring any outstanding financial obligations are duly addressed.
  2. Vroom reserves the right to terminate the User’s B2B account and their Packages subscription without any prior notice if we determine, at our discretion, that the User has violated these ToU or any applicable law, engaged in fraud or misuse of the B2B account, or acted in a manner harmful to our interests or another User. This includes breaches of these T&C, fraudulent behavior, or the provision of false or misleading information to Vroom.
  3. Vroom may notify the User by email or by such other modes of communication, electronic or otherwise.
